Terms of Service

1.Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the TranSpendly platform and related services (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2.The Service

TranSpendly provides tools for tracking expenses, running verification workflows, managing budgets and projects, and publishing financial transparency pages. We may add, change, or remove features over time to improve the Service.

3.Accounts and Workspaces

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and keep it current. Workspace owners and admins are responsible for managing members, roles, and permissions within their workspaces.

4.Acceptable Use

You agree to use the Service in compliance with all applicable laws and our Acceptable Use Policy. You must not misuse the Service, interfere with its operation, attempt to access it in unauthorized ways, or use it to store or share unlawful content.

5.Your Content

You retain ownership of the data and content you submit to the Service ("Your Content"). You grant us a limited license to host, process, and display Your Content solely to operate and provide the Service, including rendering the public pages you choose to publish. You are responsible for Your Content and for ensuring you have the rights to publish anything you make public.

6.Subscriptions and Billing

Paid plans are billed in advance on a recurring basis (monthly or annually) until cancelled. Prices are shown at checkout. Cancelling turns off auto-renewal; your plan remains active until the end of the current billing period, after which it downgrades to the free plan.

Charges are generally non-refundable except where required by law or expressly stated. You authorize us and our payment provider to charge your saved payment method for applicable fees.

7.Free Plan and Trials

We may offer a free plan or trial features. We may change the limits of the free plan, or the availability of any feature, at our discretion. Certain features are available only on specific paid plans.

8.Intellectual Property

The Service, including its software, design, and trademarks, is owned by TranSpendly and protected by law. These Terms do not grant you any right to our intellectual property except the limited right to use the Service as permitted here.

9.Third-Party Services

The Service integrates with third-party providers (for example, payment processing, file storage, and email delivery). Your use of those integrations may be subject to the third party's terms, and we are not responsible for their services.

10.Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. TranSpendly is a tool to support transparency and accountability; it is not a substitute for professional accounting, legal, or audit advice.

11.Limitation of Liability

To the maximum extent permitted by law, TranSpendly and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve months before the claim.

12.Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ends, and we may delete Your Content subject to our retention obligations.

13.Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
